This Mutual Non-Disclosure Agreement ("Agreement") is entered into between Cyber Horizon Intelligence Ltd, a company incorporated under the laws of England and Wales ("Company"), and the entity or individual executing this Agreement ("Recipient").

1. Purpose

The Parties wish to explore a potential business relationship, including evaluation of cybersecurity and threat intelligence services, technical demonstrations, commercial discussions, and access to proprietary data, systems, or beta features.

2. Definition of Confidential Information

"Confidential Information" means any non-public information disclosed by a Party in any form, including technical information (algorithms, architecture, source code), business information (pricing, financial data, customer information, product roadmaps), and threat intelligence information (data feeds, attribution methodologies, intelligence sources).

3. Obligations of Receiving Party

The Receiving Party shall use Confidential Information solely for the Purpose, not disclose it to third parties without prior written consent, limit access to personnel with a legitimate need to know, protect it using industry-standard security measures, and not use the information to develop competing products or services.

4. Exclusions

Confidential Information does not include information that is or becomes publicly available without breach, was lawfully known prior to disclosure, is independently developed without use of Confidential Information, is obtained lawfully from a third party, or is required to be disclosed by law or court order.

5–10. Additional Provisions

  • Data Protection: Parties agree to comply with UK GDPR for any personal data included in Confidential Information.
  • Term: Five (5) years from the Effective Date. Trade secrets remain protected indefinitely.
  • Return or Destruction: Upon request or termination, Confidential Information must be returned or destroyed with written confirmation.
  • Remedies: Breach may cause irreparable harm; the Disclosing Party may seek injunctive or equitable relief.
  • Governing Law: Laws of England and Wales.
