Terms of Service

These Terms of Service ("Terms") govern access to and use of the Cyber Horizon Intelligence platform ("Service") provided by Cyber Horizon Intelligence Ltd, a company registered in England and Wales under company number 17327222. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Authority

You represent and warrant that you are at least 18 years old, acting on behalf of a legal entity, and have authority to bind that entity to these Terms. The Service is intended for business use only.

2. Description of Services

Cyber Horizon Intelligence provides: Threat intelligence and monitoring, domain and infrastructure analysis, vulnerability intelligence aggregation, compliance and risk management tooling, security analytics and reporting. We may modify features from time to time, provided such changes do not materially reduce core functionality.

Certain features use artificial intelligence to generate drafts, summaries, risk and vendor assessments, questionnaire answers, and recommendations. AI-generated output may be inaccurate or incomplete and is provided to assist, not to replace, professional and human judgement. You are responsible for reviewing and verifying AI-generated output before relying on or acting on it, and you should not treat it as legal, regulatory, or professional advice.

3. Customer Responsibilities

You agree to maintain the confidentiality of credentials, configure appropriate access controls, ensure lawful use of the Service, and ensure all uploaded data is lawfully obtained. You are responsible for all activity under your account.

4. Acceptable Use

You shall not use the Service for unlawful purposes, attempt unauthorised access, reverse engineer or extract proprietary logic, use the Service to build competing products, interfere with system integrity, perform excessive automated requests, or conduct benchmarking without consent. In addition, you shall not:

  • conduct or permit any penetration testing, vulnerability scanning or similar security testing of the Service, except under a separate written testing agreement signed by us;
  • use the Service to assess, scan, monitor or look up any third-party system, domain or organisation without all authorisations required by applicable law (including the Computer Misuse Act 1990); you warrant that you hold such authorisations for any target you submit.

We may suspend access immediately where use poses a security risk.

5. Subscriptions, Renewal, Fees and Cancellation

Fees are billed in advance for the subscription term stated in your plan or Order Form (for example, monthly or annual). Fees exclude applicable taxes. Failure to pay may result in suspension or termination. We may change pricing with at least 30 days' notice, effective from your next renewal. Except where required by law, fees are non-refundable, including for partially used terms.

Automatic renewal. Unless cancelled, your subscription renews automatically for successive terms equal to your current term, at the then-current price. To stop renewal, either party may give notice of non-renewal at least 30 days before the end of the current term.

How to cancel. You may cancel by emailing support@cyberhorizon.co, or through your account where that option is available. Subscriptions under a signed Order Form are governed by the Order Form and MSA (see section 19).

Effect of cancellation. Cancellation stops the next renewal; it does not shorten or refund the current term. For annual or other fixed terms, your subscription continues until the end of the paid term and is not refundable mid-term. For monthly subscriptions, cancellation takes effect at the end of the current billing cycle. When your subscription ends, access to the Service ceases and your data is handled in accordance with Section 9 and our Data Processing Agreement.

6. Intellectual Property

All rights in the Service remain our exclusive property. No rights are granted except as expressly stated. You retain ownership of all data submitted and grant us a limited licence to process data solely to provide the Service. Any feedback you provide may be used by us without restriction.

7. Confidentiality

Each party agrees to protect confidential information using reasonable care and not disclose it except as required to perform obligations under these Terms.

8. Data Protection

Where we process personal data on your behalf, such processing is governed by our Data Processing Agreement. You are responsible for ensuring lawful collection and use of personal data.

9. Data Access, Export, and Deletion

You may access and export your data at any time during your subscription. After termination or expiry, you may request an export of your data for 30 days; we then delete or return your data, at your election, within 30 days of the end of that window in accordance with the Data Processing Agreement. Data in routine backups is deleted or overwritten in the ordinary course of backup cycling (within 90 days) and remains protected in the meantime.

10. Security and Availability

We implement appropriate technical and organisational security measures aligned with industry standards. Except as expressly set out in an applicable Service Level Agreement, the Service is provided on an "as is" and "as available" basis. Save as provided in such an SLA, we do not guarantee uninterrupted availability, error-free operation, or detection of all security threats.

11. No Legal or Compliance Advice

The Service provides tools and information for security and compliance purposes. It does not constitute legal, regulatory, or professional advice. Customers remain responsible for their own compliance decisions.

12. Beta and Experimental Features

We may offer beta or experimental features. Such features are provided "as is", may be modified or discontinued at any time, and may not be subject to the same security or availability standards.

13. Limitation of Liability

13.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited or excluded.

13.2 Subject to 13.1, neither party is liable for indirect or consequential loss, or for loss of profits, revenue, anticipated savings, goodwill or business, or (except to the extent of our obligations under the Data Processing Agreement) loss or corruption of data.

13.3 Subject to 13.1, each party’s total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

13.4 Nothing in this section limits your obligation to pay fees properly due, or either party’s liability under section 14 (Indemnification).

13.5 Neither party is liable for the other’s regulatory fines or penalties except to the extent directly caused by the first party’s breach of its own obligations.

14. Indemnification

You will defend and indemnify Cyber Horizon Intelligence Ltd against third-party claims arising from your misuse of the Service, your violation of law, data you upload, or your breach of these Terms, and pay damages finally awarded and reasonable costs — provided we notify you promptly of the claim, allow you to control the defence and settlement (no settlement may impose obligations on us without our consent), and give reasonable cooperation.

15. Term and Termination

These Terms remain in effect during your subscription. We may suspend or terminate access for breach of Terms, non-payment, security reasons, or where required by law. Upon termination, access to the Service ceases and data handling follows Section 9 and the DPA.

16. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control.

17. Assignment

You may not assign these Terms without prior written consent. We may assign these Terms in connection with corporate transactions.

18. Governing Law; General

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.

Notices to us must be sent to legal@cyberhorizon.co; notices to you may be given by email to your account email or by in-product notice. Failure to enforce a right is not a waiver of it. If any provision of these Terms is found unenforceable, the remainder continues in force. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them. Sections 6, 7, 13, 14 and any provision intended to survive continue after termination.

19. Entire Agreement; Signed Agreements Prevail

These Terms, together with the Privacy Policy, the Data Processing Agreement and (where your plan includes it) the Service Level Agreement, form the entire agreement between you and us regarding the Service. If you or your organisation has entered into a signed agreement with us (including a Master Services Agreement and/or Order Form), that agreement governs your organisation’s subscription and prevails over these Terms to the extent of any conflict; these Terms continue to govern individual users’ access to the Service to the extent not inconsistent with it. No service levels apply except where a Service Level Agreement is expressly included in your plan or Order Form.

20. Changes to these Terms

We may update these Terms from time to time. We will give at least 30 days’ notice of material changes by email or in-product notice. Changes take effect at the start of your next renewal term, unless a change is required by law or relates to new functionality, in which case it may take effect sooner. If a material change adversely affects you, you may cancel your subscription with effect from the date the change takes effect and receive a pro-rata refund of prepaid fees for the unused remainder of your term. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
